Gorge Project – Licence & Tenure Risk

The Company’s 100% interest in the Gorge Project exploration licence E08/3737 is subject to the terms and conditions of the tenement, applicable laws and regulations and all required governmental, regulatory, environmental, heritage, native title, land access and other approvals.

Although E08/3737 is currently granted, there can be no assurance that the licence will be renewed, extended or retained for its current term or on its existing terms. The licence or part of the licence area may be subject to mandatory or voluntary relinquishment, surrender or reduction, or may be varied, suspended, cancelled, forfeited, transferred or not renewed as a result of regulatory laws, rules, requirements, expenditure or work-programme commitments, reporting, payment or other obligations, decisions of relevant authorities or strategic and commercial decisions made by the Company.

The grant and continued holding of E08/3737 does not guarantee approval for any particular exploration, appraisal or drilling, development or mining activity. Future activities may remain subject to additional regulatory, environmental, heritage, native title, land access and other approvals and may be affected by funding, technical, geological, commercial and operational factors.

There can also be no assurance that exploration at Gorge will establish an economically recoverable mineral resource or ultimately result in development or mining.

Any loss, reduction, variation or non-renewal of E08/3737, or any inability to obtain necessary approvals, could materially affect the scope, timing, economics and value of the Gorge Project. References to E08/3737, the Company’s interest and planned activities reflect their status as at the date of the relevant Website Material and are not an assurance of continued tenure, ownership, future activity or value.

PEL94 – Licence, Participating Interest & Regulatory Risk

The Company’s 78% Participating Interest in PEL94 and its position as operator are subject to the terms and conditions of the relevant petroleum exploration licence, petroleum agreement, joint venture and other contractual arrangements, applicable Namibian laws and regulations, work-programme and expenditure obligations and all required governmental, regulatory, environmental and other approvals.

There can be no assurance that PEL94 will be renewed, extended or retained for its current term or on its existing terms. The licence, participating interests or licence area may be subject to mandatory or voluntary relinquishment, surrender or reduction, or may be varied, suspended, cancelled, transferred, farmed out, not renewed or otherwise terminated, in whole or in part, as a result of applicable regulatory laws, rules, requirements, work-programme, expenditure, reporting, payment or other obligations, decisions of relevant authorities, contractual arrangements or strategic and commercial decisions.

The Company is pursuing potential farm-out opportunities in relation to PEL94. Any future farm-out, transfer or other transaction may result in a change to the Company’s participating interest, operatorship, rights, obligations or economic exposure to PEL94, and there can be no assurance that any such transaction will be completed or on what terms.

Continued ownership of a participating interest in PEL94 does not guarantee that future exploration, appraisal or drilling approvals will be obtained, that hydrocarbons will be discovered in commercially recoverable quantities, or that any discovery will ultimately proceed to appraisal, development or production.

Changes in applicable law, regulation, fiscal terms, licence conditions or governmental requirements may also affect the Company’s rights, obligations, expenditure requirements or project economics.

Any loss, relinquishment, reduction, variation or non-renewal of PEL94, any change in the Company’s participating interest or operatorship, or any inability to obtain required approvals could materially affect the Company’s interest in, and the timing, economics and value of, the project. Juno Project – Licence & Tenure Risk

There can be no assurance that any Juno tenement will be renewed, extended or retained for its current term or on its existing terms. Any tenement or part thereof may be subject to mandatory or voluntary relinquishment, surrender or reduction, or may be varied, suspended, cancelled, forfeited, transferred or not renewed as a result of regulatory laws, rules, requirements, expenditure or work-programme commitments, reporting, payment or other obligations, decisions of relevant authorities, contractual arrangements or strategic and commercial decisions.

The Company’s interest in the Juno Project is also subject to its joint venture arrangements and may change as a result of transfers, transactions, contractual rights or other arrangements between the relevant parties.

Continued tenure does not guarantee that approvals required for future exploration, appraisal or drilling will be obtained, that planned activities will proceed on the timing or budget currently contemplated, or that exploration will establish an economically recoverable mineral resource or lead to development or mining.

Any loss, reduction, variation or non-renewal of a Juno tenement, change in the Company’s project interest, or inability to obtain necessary approvals could materially affect the scope, timing, economics and value of the Juno Project.
